Terms of Service

These Terms of Service (the "Terms") govern your access to and use of EdgeMed EM (the "Service"), an emergency medicine exam preparation platform operated by EdgeMed Education Ltd ("we", "us", "our", or the "Company"), a company incorporated in the Republic of Ghana with registration number CS123660626. By creating an account on edgemedem.com or otherwise using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old, or a licensed medical student or healthcare professional authorised to use exam preparation materials in your jurisdiction. One account per person; you are responsible for all activity that occurs under your credentials.

2. The Service

EdgeMed EM provides multiple-choice question banks, written explanations, teaching points, performance analytics, and related study tools for emergency medicine exam preparation across three product tracks (Primaries, Membership, and Fellowship). Features and pricing for each track are described on our pricing page and may change from time to time on reasonable notice.

4. Subscriptions and billing

• Subscriptions are payable in advance via Paystack.
• Prices are denominated in US Dollars and may be displayed in your local currency for convenience (foreign exchange is provided by a third-party rate feed and may differ slightly from your bank's settlement rate).
• Recurring subscriptions auto-renew at the end of each billing period unless cancelled in advance.
• You can cancel auto-renewal at any time from your account page; cancellation takes effect at the end of the current billing period and does not trigger an automatic refund.

5. Refunds

Our refund terms are set out in the Refund Policy, which forms part of these Terms.

6. Acceptable use

You agree not to:

• Share, sell, lease, or otherwise transfer your account credentials to any third party.
• Scrape, harvest, copy, reproduce, redistribute, or publicly post any content from the Service, in whole or in part.
• Use the Service or any extracted content to train, fine-tune, or otherwise build a competing product or AI model.
• Use automated tools (bots, crawlers, scripts) to interact with the Service without our prior written permission.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Use the Service in a way that violates any applicable law or regulation, or that could damage the Service or the experience of other users.

We may suspend or terminate accounts that breach these rules, without refund where the breach is material.

7. Intellectual property

All questions, explanations, teaching points, images, and other materials on the Service ("Content") are owned by EdgeMed Education Ltd or our content partners and licensors. During the term of your subscription we grant you a personal, non-transferable, non-exclusive, non-sublicensable licence to access the Content for your individual exam preparation. No other rights are granted, expressly or by implication.

8. Privacy

Our collection and handling of your personal data is described in our Privacy Policy, which forms part of these Terms.

9. Termination

We may suspend or terminate your access to the Service if you breach these Terms, if we are required to do so by law, or if we discontinue the Service in whole or in material part. You may close your account at any time by emailing support@edgemedem.com.

10. Disclaimers and limitation of liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law:

• We make no warranties (express or implied) about the accuracy, completeness, timeliness, or fitness for any particular purpose of the Service or its Content.
• We are not liable for any indirect, incidental, special, or consequential loss arising out of or in connection with your use of the Service.
• Our aggregate liability to you in any 12-month period is limited to the total amount you paid us during that period for the relevant subscription.

Nothing in these Terms limits any rights you have as a consumer under mandatory provisions of Ghana law or other applicable mandatory law.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email and by an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing law and disputes

These Terms are governed by the laws of the Republic of Ghana. The courts of Ghana have exclusive jurisdiction to resolve any dispute arising out of or in connection with these Terms or the Service, save where mandatory consumer-protection law in your country of residence provides otherwise.
